Terms of Service

These Terms form a binding agreement between you and Idowu Ayeni, carrying on business as Emerald Software Solutions and operating Waine Appointments ("Waine," "we," "us," or "our"). Emerald Software Solutions is a registered Alberta sole proprietorship (a trade name), not a separate corporate entity. By creating an account, subscribing to the Services, booking through Waine, or otherwise using the Services, you agree to these Terms and our Privacy Policy.
1. Definitions
- "Business User" means a business owner, organization, independent professional, or other person that creates or administers a Waine business account.
- "Staff User" means an employee, contractor, agent, or other person authorized by a Business User to access that Business User's Waine account.
- "Client" means an individual who uses Waine to make, manage, or interact with a booking or otherwise communicates with a Business User through Waine.
- "User" means any Business User, Staff User, Client, or other authorized user of the Services, as the context requires.
- "Services" means the Waine Appointments websites, mobile applications, booking pages, APIs, integrations, communications features, and related software and services provided by Waine.
2. Eligibility and accounts
A Business User must be at least 18, have authority to bind the business they represent, and provide accurate information. The Business User is responsible for its Staff Users, credentials, permissions, and all activity under its account.
Keep passwords and recovery codes confidential, enable two-factor authentication, and promptly report suspected compromise. Waine may require identity, business, or payment verification and may refuse or suspend accounts where information is inaccurate or risk is unacceptable.
3. Platform role and Business User responsibilities
Waine supplies scheduling, booking, messaging, payment-support, and business-management software. Each listed Business User is independent and is solely responsible for its services, staff, licences, prices, taxes, availability, safety, Client relationship, cancellation policy, refunds, and compliance with laws that apply to it.
Waine is not a party to the service contract between a Business User and its Client, does not employ service providers, and does not guarantee a Business User, Client, appointment, result, or service quality. Business Users must present accurate descriptions and obtain all consents needed to collect Client information and send communications.
Users must not use Waine for unlawful, fraudulent, misleading, abusive, discriminatory, infringing, unsafe, or unsolicited activity; introduce malicious code; probe security; scrape or resell the platform; or access information without authorization.
4. Bookings, Client charges, and disputes
A business may require a deposit, card on file, no-show fee, or late-cancellation fee. The business must disclose its policy and charge before confirmation. By confirming a booking and submitting a payment method, the client authorizes the disclosed charges through Stripe.
Stripe and the connected business process payments. Waine does not hold client funds and does not set a business's cancellation or refund policy. Clients should first contact the business about appointment quality, refunds, or disputed charges, then contact their card issuer or Waine support if needed.
Chargebacks, reversals, refunds, taxes, negative balances, and processor fees may be passed to the responsible business where permitted. Waine may delay or restrict payment features to manage fraud, legal, or processor risk.
5. Subscription plans and billing
Plan features and prices are shown before checkout. Unless stated otherwise, paid plans renew automatically each billing period until cancelled. Prices are in the displayed currency and exclude applicable sales taxes. Payment processor fees may apply and are separate where disclosed.
Waine may offer free trials, promotional pricing, credits, beta plans, or other promotional access. The duration and material conditions of a promotion will be shown when you enroll.
If a free trial requires a payment method and automatically converts to a paid subscription, Waine will disclose the trial duration, applicable subscription price, billing frequency, and expected first billing date before enrollment is completed. Unless otherwise stated during enrollment, you may cancel an automatically converting trial before the end of the trial period to avoid the first subscription charge.
Waine Appointments supports payments through third-party payment processors supported by Waine, including Stripe where applicable, as identified during the applicable checkout or payment flow, in selected markets. For waitlist or support-assisted regions, customers may contact support to ask about available billing options.
You authorize recurring charges to the payment method on file. You may cancel through Settings → Billing; cancellation normally takes effect at the end of the paid period. Fees already billed are non-refundable except where required by law or where Waine confirms a billing error. Contact support@waineappointments.com promptly about billing errors.
We may change future prices or plan features with reasonable advance notice. A price change applies no earlier than the next renewal after the stated effective date. Continued use after that date constitutes acceptance; you may cancel before renewal.
Free trials, promotional credits, beta plans, and no-charge features may be limited, changed, or withdrawn, subject to rights that cannot legally be excluded. Plans may include reasonable usage limits, including for messages, storage, locations, staff seats, or third-party provider calls. We will identify material limits in the product or plan description.
6. Privacy, communications, and content
Our handling of personal information is described in the Privacy Policy. Businesses remain responsible for their client notices, lawful authority, consent, retention, and responses to client requests. Do not upload information that is unnecessary for scheduling or that you are not authorized to process.
Transactional messages may be sent to operate appointments and accounts. Businesses using marketing tools must comply with Canada's anti-spam legislation, including consent, sender identification, records, and unsubscribe requirements.
You retain ownership of content you submit. You grant Waine a non-exclusive licence to host, copy, process, transmit, and display that content only as reasonably needed to operate, secure, support, and improve the service. You represent that you have the rights required to provide it.
7. Third-party services and integrations
Waine may interoperate with third-party services including Google Calendar, third-party payment processors supported by Waine (including Stripe where applicable), Twilio, Resend, Expo, Apple and Google device services, and hosting, monitoring, and analytics providers. You choose which integrations to enable and authorize Waine to exchange the information needed to perform the requested functions, as described in our Privacy Policy.
Your use of a third-party service is also governed by that provider's terms and policies. Waine does not control third-party systems and is not responsible for their acts, fees, changes, outages, data loss, or decisions to suspend access. An integration may stop working or be removed if its provider changes its API, rules, availability, or security requirements.
When you connect Google Calendar, you authorize Waine to check busy periods and create, update, or delete events to provide the requested synchronization. You can disconnect the integration through Settings → Calendar. Information received from Google APIs is handled under our Privacy Policy and Google's Limited Use requirements.
If you download the mobile application through Apple's App Store or Google Play, applicable store rules also apply. Waine, not Apple or Google, is responsible for the application service and support except where store rules expressly provide otherwise.
8. AI and automated features
Waine may offer an AI-powered support agent and other automated features. Outputs are informational and may be incomplete, inaccurate, or unavailable. They are not legal, medical, tax, financial, or other professional advice and do not replace business judgment or confirmation from a human support representative.
You must verify important information before acting. An AI output does not automatically change an appointment, payment, refund, account, or legal obligation unless the interface clearly presents an action and you confirm it. Do not enter secrets, unnecessary data, or information you are not authorized to provide.
Messages you submit to an AI feature may be processed by an AI provider to generate a response, as explained in our Privacy Policy. Waine does not send those providers data obtained from Google Calendar and does not permit that data to be used to train generalized models.
9. Regulated and health-related services
Waine provides software and does not itself provide medical, dental, legal, financial, insurance, or other regulated professional services. Business Users and professionals using Waine remain responsible for determining the laws, professional standards, consent requirements, recordkeeping obligations, and other regulatory requirements applicable to their services.
Certain Waine features may permit an authorized Business User to collect or manage intake information, notes, insurance-related information, appointment information, or other information that may be considered sensitive or regulated.
Where an Alberta organization subject to the Health Information Act provides individually identifying health information to Waine in circumstances where Waine acts as an information manager, the parties must have any agreement required by applicable law, including an Information Manager Agreement where required, before the applicable health information is provided to or processed through Waine.
Use of Waine does not relieve a regulated provider or custodian of its legal or professional obligations. Waine may restrict, disable, or condition access to regulated-data features where necessary to meet legal, security, contractual, or risk-management requirements.
10. Intellectual property and feedback
Waine, its software, design, branding, documentation, and underlying technology are owned by the operator or licensors and are protected by applicable intellectual-property laws. These Terms grant only a limited, revocable, non-transferable right to use the service. Feedback may be used without restriction or compensation, provided we do not identify you publicly without permission.
11. Availability, disclaimers, and liability
Waine is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Third-party services, networks, and payment processors may be unavailable or change independently of Waine.
We may maintain, patch, upgrade, add, limit, or remove features to improve the service, address legal or security requirements, or respond to provider changes. We will try to give reasonable notice where a material change substantially reduces an essential paid feature. Unless separately agreed in writing, no specific service level or uptime is guaranteed.
To the maximum extent permitted by law, Waine is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, data, appointments, or business interruption; or conduct of a Business User, Client, Staff User, or third party.
Waine's total aggregate liability arising from the service will not exceed the greater of CAD $100 or the subscription fees you paid Waine in the three months before the event giving rise to the claim. Nothing in these Terms excludes or limits any liability, remedy, or statutory right that cannot lawfully be excluded or limited.
12. Indemnity
To the extent permitted by law, a Business User will defend, indemnify, and hold Waine and its operator harmless from third-party claims, losses, and reasonable costs arising from that Business User's services, content, staff, Client relationship, privacy or messaging practices, taxes, breach of these Terms, or violation of law. Waine will provide reasonable notice and cooperation, and the Business User may not settle a claim in a way that admits liability for Waine without consent.
13. Suspension, termination, and data
You may stop using Waine or cancel a subscription at any time. We may suspend or terminate access for non-payment, security risk, fraud, unlawful conduct, material breach, processor requirements, or risk to users or the platform. Where reasonable, we will provide notice and an opportunity to correct the issue.
After termination, access may end immediately. Data is retained and deleted according to the Privacy Policy, backup cycles, and legal obligations. Request an export before closing an account; export availability depends on the tools then offered and account standing.
14. Governing law and disputes
These Terms are governed by Alberta law and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory consumer right, the courts located in Calgary, Alberta have exclusive jurisdiction.
Before starting a claim, contact support@waineappointments.com and give us 30 days to attempt an informal resolution. Nothing in these Terms prevents either party from seeking urgent injunctive relief or using a small-claims process where eligible.
15. General terms and changes
These Terms and incorporated policies are the entire agreement about Waine. If a provision is unenforceable, it will be limited or removed without affecting the rest. Failure to enforce a term is not a waiver. You may not assign this agreement without consent; Waine may assign it as part of a reorganization, financing, or transfer of the service. We may update these Terms with reasonable notice of material changes. Continued use after the effective date means acceptance.
